9 Steps to Establish a Limited Liability Company (d.o.o)

Part 1

Are you ready?
Step 1.1 - PREPARING THE FOUNDING ACT
Mandatory parts of the founding act include:
  • Name and address of the company founder (if the founder is a foreign company, then the name and address of the company should be provided)
  • Company name, registered office, and the business activity it will engage in
  • Amount of the share capital and the amount of contributions in cash
  • Rights and obligations of company members (business policy, profit distribution, etc.)
  • Procedure in case any of the company founders fail to make their cash contributions by the agreed deadline or fail to fulfill any other agreed obligations
Step 1.2 - PREPARING THE FOUNDING ACT
  • Costs of establishment and the method of settling the establishment costs of the company (by the founders or the new company)
  • Management and representation of the company (appointment of persons authorized for management, representation, and registration of the company in the court registry)
  • Consequences of unsuccessful company establishment
  • Special provisions if the company is established for a specific period
  • Authenticated signature of the founder or an authorized representative for registration
PRICE: notarial processing = 400 - 500 KM
Step 2 - FOUNDING CONTRIBUTION

The founding contribution is deposited into a bank account. (The minimum amount you must deposit is 1,000 KM)
The value of each contribution cannot be less than 100 KM
A member of the company is not liable for the company's obligations, but only bears the risk of the company's operations up to the amount of the invested capital

Step 3.1 - Registration
  • Application for registration (forms can be obtained at the court)
  • Founding act and notarized status of the legal entity
  • Proof of payment of the share capital into a temporary bank account
  • Proof of payment of the court fee and a certificate of payment for publishing the notice of company establishment in the Official Gazette of FBiH
Step 3.2
  • Confirmation from the tax administration that there are no outstanding debts
  • Authenticated signature of the person authorized to represent the company in internal and external transactions – the signature is certified by a notary
  • Extract from the public registry proving the ownership of the person making the contribution in property and rights
APPROXIMATE COST: court fee 320 KM + 150 KM for publishing the registration in the Official Gazette = 470 KM

Step 4 - CREATING A SEAL
To create a seal, you need to submit a copy of the resolution on the registration of the company in the court registry. Seals can be made at authorized seal-making companies. (The seal must contain at least the name and registered office of the company)
APPROXIMATE COST: 30 - 50 KM
Step 5 - IDENTIFICATION NUMBER
Filing a request with the Tax Administration of FBiH - Sarajevo Cantonal Tax Office for issuing a certificate of tax registration - identification number and filing a request for issuing a Notification of Classification of Legal Entities according to the activity classification with the Federal Institute of Statistics - Statistics Department for the SBK area
APPROXIMATE COST: copying + notarization of documentation = 30 KM
Step 6 - VAT REGISTRATION
After obtaining the identification number, the Company must register with the Registry of Indirect Taxpayers if it plans to have an annual taxable turnover exceeding 50,000 KM
APPROXIMATE COST: administrative fee + copying + notarization = 50 KM
Step 7 - OPENING A TRANSACTIONAL BANK ACCOUNT
To open a transactional account at a bank, you need to provide copies of the following documents:
  • Resolution on registration in the court registry (cannot be older than 6 months)
  • Identification number resolution
  • Confirmation of the registry and customs number (for companies engaged in foreign trade)
  • Identification document for individuals who need a power of attorney for the transactional account opening
  • Authenticated signature of authorized persons for payment transactions
APPROXIMATE COST: copying + notarization of documentation = 30 KM
Step 8 - TAX ADMINISTRATION REGISTRATION
Registering the company and employees with the tax administration. To register the company with the competent tax administration, you need the following documents (originals or certified copies):
  • Resolution on registration in the court registry
  • Certificate of the registry/identification number
  • Completed application form for company registration
  • Sample of a statement confirming compliance with general and specific conditions regarding minimum technical equipment of business premises for trading activities (except for trade and hospitality)
  • Notification to the competent inspection authority on the start of business operations and compliance with prescribed conditions for commencing operations (except for trade and hospitality)
  • Decision of the competent municipal authority on compliance with minimum conditions for engaging in hospitality activities in the business premises

APPROXIMATE COST FOR ISSUANCE OF RESOLUTION: approx. 125 KM

Step 9 - FISCALIZATION
Submitting a request for initial fiscalization APPROXIMATE COST: fiscalization + fiscal device = 700 KM
